The Davis LLP Technology & Outsourcing Practice Group is comprised of a group of specialized lawyers, each with years of experience serving users and suppliers of technology. Our Group includes practitioners in all of the legal specialties required to service technology driven transactions, including corporate finance, intellectual property, tax, employment, securities, competition, immigration and dispute management.

We seek to organize our resources so as to provide clients with the depth and expertise characteristic of a highly specialized "boutique", along with the breadth and capability of a large, full service national firm. Our goal is to provide rigorously effective solutions which anticipate future developments and other needs.

Representative Matters

  • Represented a large entertainment company in a ten-year IT outsourcing transaction valued at $130 million. Under the terms of the transaction, the service supplier is responsible for IT operations, help desk support and the application evolution of the client's global infrastructure.
  • Represented one of the world's largest companies for outsourced payment services in the negotiation of a long term agreement with one of Canada's largest financial institutions. The company is to provide a range of processing and support services for the financial institution's consumer and commercial credit card accounts.
  • Represented a Canadian medical imaging company in significant financing transactions and in commercializing its patented technology in the United States and Europe.
  • Represented an international insurance company in its off-shoring to India of certain actuarial information technology-type functions.
  • Within the context of an acquisition of the Canadian operations of a large U.S. retail organization by our client, representing our client in the negotiation of an outsourcing agreement with the U.S. parent company of the acquisition target to ensure that IT services continue to be provided for a lengthy transition period.
  • Represented a $3 billion audio and electronics company in several M&A transactions which required complex reorganizations and restructurings of technology assets and intellectual property.
  • Represented an aerospace company in connection with a business process outsourcing agreement under which the supplier agreed to offer to our client a variety of warehousing services, information systems and inventory management services.
  • Represented a large Quebec-based financial institution in the negotiations of an IT outsourcing contract two-year renewal valued at $50 million. Services covered by the agreement include: infrastructure management, call centre, office technology support, maintenance of business operations and the development and integration of solutions.
  • Represented the Canadian subsidiary of a major Japanese vehicle manufacturer in the acquisition of major IT systems, a dispute involving IT systems, and privacy protection programs.
  • Retained by the Attorney General with respect to the outsourcing of database systems for the Province of British Columbia.
  • Implementation and management of an intellectual property and commercialization program for a major British Columbia post-secondary institution of research and development assets.
  • Represented MDSI Mobile Data Solutions Inc. in its acquisition by Vista Equity Partners pursuant to a plan of arrangement under the Canada Business Corporations Act. The US$70 million acquisition was through an investment vehicle managed by San Francisco-based Vista which acquired all of the outstanding shares of Vancouver-based MDSI.
