Davis LLP represents MDSI in acquisition by Vista

Vista Equity Partners acquired MDSI Mobile Data Solutions Inc. pursuant to a plan of arrangement under the Canada Business Corporations Act.

Vista is a private equity investment firm based in San Francisco, California, and MDSI, based in Vancouver, B.C., is one of the largest provider of mobile workforce management software in the world.

The acquisition was through an investment vehicle managed by Vista which acquired all of the outstanding shares of MDSI for US$8.00 cash per share. In addition, holders of outstanding options to acquire shares of MDSI received the difference between US$8.00 and the exercise price for such options.

The purchase price valued MDSI at approximately US$70 million.

MDSI was represented in Canada by Davis LLP with a team led by David Reid that included Don Collie, Lorne Beiles and Paul Lailey (tax), and Brent MacLean (litigation).
