Biography

Stephan Scott Trudeau practises out of the Montreal office and is Counsel with Davis LLP. He is a member of the firm's Projects, Energy & Utilities, Corporate/Commercial/M&A and International Business Transactions Groups.

Mr. Trudeau has practised for many years as in-house counsel for a number of corporations, both Canadian and multinational, and with a leading Canadian law firm. He has extensive experience dealing with customers, suppliers and business units in various industry sectors such as oil & gas, power generation, distribution and transmission, utilities, wind power, mining, metals, pulp and paper, automotive, technology & aerospace, as well as with engineering and EPC firms.

Prior to joining Davis, Mr. Trudeau was Vice-President, General Counsel and Corporate Secretary with ABB Inc., a multinational industrial & electrical engineering, manufacturing and services company. In this role, he negotiated and drafted agreements for major engineering projects as well as represented the company before various national and international commercial arbitration panels. In addition, Mr. Trudeau handled all mergers, acquisitions and divestments, as well as advised business units on aspects related to risk management and export controls, environmental, real estate, banking and taxation issues.

Professional Experience

Drafted and negotiated turnkey Engineering Procurement Construction contracts for the following major projects:

  • Hydro-Québec Outaouais HVDC Converter Station ($200M)
  • ONGC India enterprise-wide Supervisory Control and Data Acquisition (SCADA) system ($95M)
  • Alcan Kitimat Power Supply System ($80M)
  • EDF NamTheun II Laos Electromechanical Balance of Plant ($63M)
  • Aluminerie Alouette II Power Supply System ($50M)
  • Northland Power, Creststreet Power and 3Ci Miller Mountain and Copper Mountain Wind farms Balance of Plant and Interconnection ($30M)

Negotiated substantial out-of-court settlements with major Canadian and American utilities and industrial corporations on product liability and construction change order matters.

Representation before the China International Economic Trade and Arbitration Commission (CIETAC) in Beijing, PRC on a Canadian export controls related matters.

For several private M&A projects ranging from $5M to over $100M, conducted due diligence activities, negotiated and drafted asset purchase agreements and advised on subsequent corporate integration issues.

Drafted and negotiated various Multi-Year Blanket Product Supply Agreements (up to $200M), Services Agreements including multi-year full-service agreements with transfer of all customer industrial maintenance employees, as well as other commercial agreements such as Distributor, Agency, Outsourcing, Consignment, License, e-Commerce, etc.

Advised on corporate ethics and compliance issues - CFPOA, FCPA/OECD Anti-Bribery Convention compliance and conducted due diligence on proposed sales agents and intermediaries.

Cartier Pipeline Project: Enbridge and Gaz Metro consortium for a $1B pipeline project to link eastern offshore natural gas reserves to the Quebec and Northeastern Canadian and USA markets. Assisted in all phases of the project's development, including regulatory filings, representations before the National Energy Board and drafting of various commercial contracts.
