Biography
Megan Filmer practices corporate/commercial and lending law in the Vancouver office of Davis LLP. Her practice focuses on purchases and sales of businesses, lending and financing transactions, advising clients on a variety of commercial contracts including shareholders agreements and partnership agreements, and assisting clients with their corporate and governance issues. As a member of the Yukon bar, Ms. Filmer also carries out corporate/commercial work for Yukon-based clients.
Over the past few months, Ms. Filmer has been lead counsel on the following matters:
- acting for the borrower (a steel processor and distributor) in a $50 million cross-border financing involving a group of companies
- acting for the U.S. and German-based purchaser of a B.C.-based software company
- acting for a Vancouver-based software company in the negotiation and drafting of major commercial contracts, and with respect to its financing both from an institutional lender and through private placements of shares to individuals and venture capital companies
- acting for a health authority in the negotiation of a series of complex commercial contracts for the planning and development of a cutting edge health care facility
- acting for an agricultural feed distributor in the acquisition of a company in a related business
- acting for a sports equipment retailer in the sale of its business
- acting for a restaurant owner and franchisor in the establishment of a joint venture, including negotiation of a shareholders' agreement and licence/services agreement
- acting for the primary shareholder of a physiotheraphy clinic in the negotiation of a shareholders' agreement, and for the shareholders of a related business in the modernization and reconsideration of their existing shareholders' agreement
- acting for a bank with respect to financing and taking security from a variety of borrowers
-acting for a lower mainland golf club with respect to its corporate and governance matters.
Ms. Filmer is also a member of the firm's Health Law Practice Group, and as such assists major British Columbia health authorities and institutions, as well as private health facilities and clinics, with their transactions and corporate governance.
Recently, Ms. Filmer worked on a pro-bono basis with the Vancouver Olympic Bid team in negotiating and drafting agreements with the owners of private venues for use of their facilities for sports events during the 2010 Winter Olympics.
Ms. Filmer articled in the firm's Vancouver office in 1995/96, then moved north to practice in the Whitehorse office for four years and returned to the Vancouver office in September 2000.
