On November, 30, 2004, QNX Software Systems Ltd., an Ottawa-based software company, was acquired by Harman Canada Co., a subsidiary of Harman International Industries, Inc. for a purchase price of US$138 million. QNX is a world leader in the development of real time operating systems for advanced embedded applications. The transaction included some pre-transaction tax restructuring, significant due diligence and the post-closing integration of the new business into its ultimate parent. Harman was represented by general counsel, Ed Summers, and by Davis LLP in Toronto and Vancouver, with a team that included Sandra Appel and Justin Mooney (corporate), Chris Bennett and David Spratley (intellectual property), Scott Dunlop and Michael Richards (employment), and Kevin Wright (competition).
